Introduction

Welcome to Unghosted. These Terms of Service ("Terms") govern your access to and use of the Unghosted website, apps, and services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

Accounts and Registration

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Subscription and Payments

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis, depending on the type of subscription plan you select.

At the end of each period, your subscription will automatically renew under the same conditions unless you cancel it or we cancel it.

You may cancel your subscription either through your online account management page or by contacting our customer support team. You will not receive a refund for the fees you already paid for your current subscription period, and you will continue to have access to the Service until the end of your current subscription period.

We reserve the right to change, modify, or update our subscription fees at any time. Any change in the subscription fee will be communicated to you in advance and will take effect at the beginning of the next subscription period.

Email Integration and Data Usage

Our Service allows you to connect your email accounts for purposes of email automation, analytics, and management. When you connect your email account, you grant us permission to:

  • Access and read your emails
  • Send emails on your behalf
  • Modify your email settings (such as labels or folders)
  • Manage your email drafts and templates

We will only use your email data as necessary to provide the Service and in accordance with our Privacy Policy. We will not read, access, or use your email data for any purpose other than providing the Service without your consent.

You retain full ownership of your email data. When you disconnect your email account or delete your Unghosted account, we will delete your email data from our systems in accordance with our data retention policies.

Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Unghosted and its licensors.

The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Unghosted.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us.

User Content

Our Service allows you to create, upload, store, and share content, including email templates, contact information, and campaign data ("User Content").

You retain all rights to your User Content, and you are responsible for all User Content that you upload, post, or otherwise make available via the Service.

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in any existing or future media, solely for the purpose of providing the Service to you.

You represent and warrant that: (i) the User Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To send spam or bulk unsolicited messages.
  • To harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.
  • To impersonate or attempt to impersonate Unghosted, a Unghosted employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Unghosted or users of the Service or expose them to liability.
  • To use the Service in a manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.

Unghosted reserves the right to terminate your access to the Service immediately, without prior notice, if in our sole discretion you violate any of the prohibited uses.

Email Compliance

You agree to use our email features in compliance with all applicable laws and regulations, including but not limited to:

  • The CAN-SPAM Act of 2003 (United States)
  • The General Data Protection Regulation (GDPR) (European Union)
  • The Canadian Anti-Spam Legislation (CASL)
  • Any other applicable email marketing or privacy laws

This includes, but is not limited to:

  • Obtaining proper consent before sending marketing emails
  • Including a valid physical address in your emails
  • Providing clear and conspicuous unsubscribe options
  • Honoring opt-out requests promptly
  • Not using misleading subject lines or from addresses

Unghosted reserves the right to suspend or terminate your account if we determine, in our sole discretion, that you are using our Service to send emails that do not comply with applicable laws and regulations.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. Unghosted disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Unghosted does not warrant that (i) the Service will function uninterrupted, secure, or available at any particular time or location; (ii) any errors or defects will be corrected; (iii) the Service is free of viruses or other harmful components; or (iv) the results of using the Service will meet your requirements.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Unghosted, its affiliates, directors, employees, agents, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, Unghosted assumes no liability or responsibility for any: (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of the Service; (iii) unauthorized access to or use of our servers and/or any personal information stored therein; (iv) interruption or cessation of transmission to or from the Service; (v) bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (vi) errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, transmitted, or otherwise made available via the Service.

In no event shall our total liability to you for all claims exceed the amount you paid to us, if any, during the past 12 months.

Indemnification

You agree to defend, indemnify, and hold harmless Unghosted, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws, rules, or regulations

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account from the account settings page.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
